M embers of the distri ct board s hall serve , as such, without compensation but may be reimbursed for their reasonable expenses . The territorial boundaries or limits of the twenty-three districts are set forth in the schedule entitled "Schedule of Districts " and anne xed to this Act . Whenever the Commission upon investigation instituted upon its own motion or upon petition of any code member, district board, Stat e or political subd ivision thereof, or the consumers' cou nsel, after hearing finds that the territorial boundaries or limits of any district or minimum-price area are such as to make it substantially imprac- ticable to establish minimum prices in accordance with all the stand- ards set forth in subsections (a) and (b) of part II of this section, and that a change in such territorial boundaries or limits or a division or consolidation of such districts or minimum-price areas would render the establishment of minimum prices in accordance with all such standards more practicable, it shall by order make such changes, divisions, and consolidations as it finds will substan- ti ally aid i n such est ablishment of minimum prices . (b ) The expen se of admi niste ring t he co de by the respe ctive di strict boa rds shall be borne by the code members in the respe ctive districts, each paying his proportionate share, as assessed, computed on a tonnage basis, in accordance with regulations prescribed by such boards with the approval of the Commission . Such assessments may be collected by the district board by action in any court of competent jurisdiction . (c) Nothing co ntained in this Act shall cons titute the members of a district board partners for any purpose . Nor shall any member of a district board or officer thereof be liable in any manner to any- on e for a ny act of any other member, office r, agen t, or e mployee of the district board . Nor shall any member or officer of a district board, exercising reasonable diligence in the conduct of his duties under this Act, be liable to anyone for any action or omission to act under this Act except for his own willful misfeasance or for nonfeasance involving moral turpitude . (d) No action complying with the p rovisions of this sec tion taken while this Act is in effect, or within sixty days thereafter, by any code member or by any district board, or officer thereof, shall be co nstrued to be within the prohib itions of the antitr ust laws o f the United States . PART II-MARKETING The Commission shall have power to prescribe for code members mi nimum a nd max imum pr ices, a nd mark eting r ules an d regul ations, as f ollows (a) All co de members shall re port all spot order s to such statistic al bureau hereinafter provided for as may be designated by the Com- mission and shall file with it copies of all contracts for the sale of coal, copies of all invoices, copies of all credit memoranda, and such othe r information conce rning the preparati on, cost, sale, and distribu- tion of coal as the Commission may authorize or require . All such records shall be held by the statistical bureau as the confidential re cords of t he code me mber filing such info rmation . For each district there shall be established by the Commission a statistical bureau which shall be operated and maintained as an agency of the Commission . Each statistical bureau shall be under the direction of a manager, who shall be appointed by the Commis- sion . No producer, employee, or representative of a producer, and, except as the Commission may specifically approve, no member of a 77 Service without com- pensation ; expenses allowed .
