[CHA PTER 336] AN ACT June 14, 1937 To amend the Act entitled "An Act to incorporate the National Education Asso- [S. 709] ciation of the United States", approved June 30, 1906, as amended .

[Public, No . 146] Be it enacted by the Senate and House of Representatives of the United States o f America in Congress assembled, That section 5 of the Act entitled "An Act to incorporate the National Education Association of the United States", approved June 30, 1906, as amended, is amended to read as follows "SEC. 5 . The qu alificati ons, clas sificatio ns, righ ts, and o bligation s of members of said corporation shall be prescribed in the bylaws of the corporation ." SEC. 2 . Section 6 of such Act is amended to read as follows "SEC . 6 . (a) The officers of the corporation shall be a president, one or more vice presidents, a secretary, a treasurer a board of directors, an exec utive com mittee, a board of trustees, and suc h boards, councils, committees, and other officers as shall be prescribed in the bylaws . "(b) Except as lim ited b y this Act, as ame nded, t he byl aws of the corpora tion s hall p rescri be the power s, duti es, te rms of offic e, and the manner of election or appointment of the said officers, boards, councils, and committees; and the said corporation may by its bylaws make other and different provisions as to the numbers and names of the officers, boards, councils, and committees ." SEC . 3 . Section 7 of such Act is amended to read as follows "SEC . 7. (a) The board of trustees shall consist of four members elected by the board of directors for a term of four years, and the president of the association, who shall be a member ex officio dur- ing his term of office . At the first meeting of the board of directors held du ring t he ann ual me eting of the associ ation at whi ch the y were elected, they shall elect one trustee for the term of four years . All vacancies occurring in said board of trustees, whether by resignation or otherwise, shall be filled by the board of directors for the unex- pired term; and the absence of a trustee from two successive annual meetings of the board shall forfeit his membership . "(b) The invested fund now known as the Permanent fund of the National Educational Association', when transferred to the corpora- tion hereby created shall be held by such corporation as a permanent fund and shall be in charge of the board of trustees, who shall provide for the safekeeping and investment of such fund, and of all other funds which the corporation may receive by donation, bequest, or 125151 - -37-- 17 National Education Association of the United States; charter amendments . 34 Stat . 805.
